Terms of Service for Workstat

These Terms of Service govern access to and use of the Workstat website, platform, software, applications, and related services. By accessing or using Workstat, you agree to be bound by these Terms of Service.
If you do not agree to these Terms, you should not use Workstat.
1. About Workstat
Workstat is a workforce and human resource management platform that helps organizations manage employee administration, attendance, payroll, leave, onboarding, performance, and related HR and workforce processes.
These Terms apply to all users of Workstat, including visitors, customers whose businesses use Workstat, administrators, and employees with platform access and their authorized users.
2. Eligibility and Authority
By using Workstat, you represent and confirm that:
- You are legally capable of entering into a binding agreement
- You are authorized to act on behalf of your organization where applicable
- The information you provide is accurate and up to date
If you access or use Workstat on behalf of an organization, you confirm that you have the authority to bind that organization to these Terms.
3. Use of Our Services
Workstat grants you a limited, non-exclusive, non-transferable, and revocable right to access and use our services in accordance with these Terms and any separate master subscription agreement.
You agree to use Workstat only for lawful and legitimate business purposes.
4. Accounts and Access
Certain features of Workstat may require an account. You are responsible for:
- Maintaining the confidentiality of your login credentials
- Ensuring the accuracy of information in your account
- Restricting unauthorized access to your account
- Activities that occur under your account, except where caused by our failure to maintain reasonable security measures
You must notify Workstat promptly if you believe your account has been compromised or accessed without authorization.
5. Customer Responsibilities
Organizations using Workstat are responsible for:
- Ensuring their use of Workstat complies with applicable employment, payroll, tax, privacy, and regulatory requirements
- Obtaining any necessary rights, permissions, notices, or consents required for data submitted into the platform
- Managing user roles and access permissions within their organization
- Reviewing reports, calculations, records, and outputs where appropriate before relying on them in operational or compliance decisions
Workstat provides software tools and functionality. Customers remain responsible for how those tools are used within their organizations.
6. Acceptable Use
You agree not to:
- Use Workstat for any unlawful, fraudulent, abusive, or misleading purposes
- Interfere with or disrupt the services or the systems that support them
- Attempt unauthorized access to any account, network, or data
- Copy, modify, reverse engineer, or exploit any part of Workstat except as allowed by law
- Upload malware or harmful code
- Use Workstat in any way that infringes the rights of another person or organization
- Misuse employee, customer, or user data accessed through the platform
Workstat may suspend or restrict access where we reasonably believe there has been a violation of these Terms, a security issue, or misuse of the service.
7. Fees, Billing, and Subscriptions
Some Workstat services may be offered on a paid subscription basis. By subscribing to a paid plan, you agree to pay all applicable fees based on the pricing and billing terms presented at the time of purchase.
Unless otherwise stated:
- Fees are non-refundable except where required by law or expressly agreed
- Subscriptions may renew automatically unless cancelled in accordance with the applicable plan terms
- Failure to pay may result in suspension or termination of access to the services
Workstat may change pricing from time to time, but any pricing changes will apply prospectively and not retroactively to an already paid billing period, unless otherwise disclosed.
8. Free Trials and Pilot Access
Workstat may offer free trials, pilot demonstrations, or limited-beta versions of the services. These may be subject to restrictions relating to time, features, usage volume, or availability.
Workstat may modify or terminate any free trials at any time.
9. Customer Data
Customers retain ownership of the data they submit to Workstat.
By using Workstat, you grant us the limited rights necessary to host, process, transmit, store, backups, and display such data solely for the purposes of operating, securing, supporting, and improving the services in accordance with applicable agreements and laws.
You are responsible for the legality, accuracy, and appropriateness of the data you submit.
10. Intellectual Property
Workstat and all related software, content, design elements, features, documentation, branding, and materials are owned by or licensed to Workstat and are protected by applicable intellectual property laws.
Except for the limited right to use the services under these Terms, no ownership rights are transferred to you.
You may not use Workstat’s name, logo, brand assets, or other intellectual property without prior written permission.
11. Availability and Service Changes
Workstat aims to provide reliable access to the services, but we do not guarantee uninterrupted or error-free operation at all times. We may:
- Update, improve, or modify features
- Perform maintenance
- Suspend access temporarily for operational, legal, or security reasons
- Discontinue certain features or parts of the service where necessary
12. Third-Party Services and Integrations
Workstat may integrate with or rely on third-party tools, platforms, hosting providers, payment processors, communication systems, and other services.
We are not responsible for the availability, actions, or policies of third-party services outside our control. Your use of certain integrations may also be subject to the terms and policies of those third parties.
13. Confidentiality
Where confidential information is shared in connection with Workstat's services, each party agrees to use reasonable care to protect that information and not disclose it except as necessary to provide the services, comply with legal obligations, or protect legal rights.
14. Disclaimers
Workstat is provided on an available basis and without warranties to the fullest extent permitted by law.
While we work to provide reliable and useful services, we do not guarantee that:
- The platform will always be uninterrupted, timely, or error-free
- Every feature will always be available
- All outputs, reports, or calculations will be accurate in every scenario without review
- The services will meet every customer requirement without configuration, oversight, or verification
Customers are responsible for reviewing important decisions, records, payroll information, compliance outcomes, and related operational outputs generated through their use of Workstat.
15. Limitation of Liability
To the fullest extent permitted by law, Workstat and its affiliates, officers, employees, contractors, licensors, and partners will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, goodwill, data, or business opportunities, arising out of or related to the use of or inability to use the services.
To the extent permitted by law, Workstat’s total liability for any claim arising out of or related to the services will not exceed the amount paid by the customer for the services during the twelve months preceding the event giving rise to the claim.
16. Indemnification
You agree to indemnify and hold harmless Workstat, its affiliates, personnel, partners, and service providers from claims, damages, liabilities, losses, and expenses arising from:
- Your misuse of the services
- Your violation of these Terms
- Your violation of applicable law
- Your infringement of any rights of another person or organization
- Any data or content submitted by you or your organization
17. Suspension and Termination
Workstat may suspend or terminate services to the customer where:
- You breach these Terms
- Payment is overdue
- Your use creates a legal, operational, or security risk
- Suspension or termination is required by law or regulatory direction
You may stop using Workstat at any time. Termination of access does not affect provisions that by their nature should survive termination, including provisions relating to payment obligations, confidentiality, liability limitations, indemnity, and intellectual property.
18. Governing Law
These Terms of Service are governed by the laws of the jurisdiction in which Workstat is duly established or operates, unless otherwise stated in a separate agreement.
Any disputes arising from or related to these Terms will be subject to the jurisdiction of the competent courts in that applicable jurisdiction, unless otherwise required by law.
19. Changes to These Terms
Workstat may update these Terms of Service from time to time. When updates are made, we will revise the date at the top of this page.
Your continued use of the services after the updated Terms take effect means you accept the revised Terms, unless applicable law requires additional notice or action.
